1. Who We Are

Innoventory is a real estate sales acceleration company based in Chennai, India. We help real estate developers generate quality leads online, manage buyer conversations, and book confirmed site visits.

2. Our Services

Innoventory provides the following services to real estate developers:

• Online Presence & AI Search Visibility
• Lead Generation through paid advertising
• Buyer Conversations and Lead Qualification
• Site Visit Booking
• Real Estate Sales Automation
• 3D Project Experience (via third-party tools)

The exact scope of services for each client is defined in a separate Service Agreement signed before work begins.

3. Payments

Setup Fee: A one-time setup fee is charged before any work begins. This covers the initial build of your online presence, ad accounts, lead systems, and campaign setup.

Monthly Retainer: The monthly retainer is due at the beginning of each month, before work for that month begins. Work for the month will only commence upon receipt of payment.

Ad Spend: Advertising spend (Meta, Google, LinkedIn, etc.) is paid directly by the client to the respective platform. This is separate from Innoventory's fees and is not included in the retainer.

Late Payment: If the monthly retainer is not received within 5 working days of the due date, Innoventory reserves the right to pause all active work until payment is received.

4. Refund Policy

Setup fees are non-refundable under any circumstances once work has begun.

Monthly Retainer Refund: Monthly retainer fees are generally non-refundable. However, if Innoventory fails to generate any leads whatsoever within a full calendar month of active campaign running, the client is eligible for a 50% partial refund of that month's retainer upon written request within 7 days of the month ending.

A "lead" is defined as a genuine enquiry received through the ad campaigns we run, with valid contact information (name and phone number). The number of leads is not guaranteed — only that we will actively work to generate them.

No refund will be issued if:

• The client reduces, pauses, or delays their advertising budget
• The client delays providing necessary project information, images, or approvals
• Market conditions affect lead volume
• The client terminates the contract early

5. No Guarantee of Results

Innoventory does not guarantee a specific number of leads, site visits, or property sales.

Real estate lead generation depends on multiple factors outside our control — including market conditions, project pricing, location, competition, and advertising budget. We commit to applying our full expertise and effort to generate the best possible results, but we cannot guarantee specific numbers.

What we do guarantee:

• Active, ongoing campaign management throughout the engagement
• Real human responses to every lead received
• Transparent reporting on campaign performance
• Continuous optimisation to improve results

6. Termination & Notice Period

Either party may terminate the engagement by giving 15 days written notice via email to hello@innoventory.in or the client's registered email address.

During the 15-day notice period, Innoventory will continue delivering services as normal and the client remains responsible for any retainer payments due during this period.

If the client terminates without giving 15 days notice, the remaining retainer for the current month is still owed in full.

Innoventory may terminate the engagement immediately and without notice if the client:

• Fails to make payment after 5 working days past the due date
• Provides false or misleading information about their project
• Behaves in a manner that is abusive or threatening towards our team

7. Ownership of Work

Ad Accounts: All advertising accounts (Meta Business Manager, Google Ads, LinkedIn Campaign Manager) are owned by the client. Innoventory is granted manager access to operate these accounts on the client's behalf. Upon termination, Innoventory's access is removed and the client retains full ownership of their accounts, data, and history.

Creative Assets: All ad creatives, landing pages, copy, and other materials produced by Innoventory for a client become the client's property upon full payment of all dues. If there are outstanding payments at the time of termination, ownership of unpaid deliverables remains with Innoventory until full payment is received.

Innoventory's Methods: Our internal processes, playbooks, systems, and methodologies remain the exclusive property of Innoventory at all times.

8. Client Responsibilities

For us to do our job properly, the client agrees to:

• Provide accurate and complete information about their project, pricing, and target buyers
• Supply project photos, videos, floor plans, and other necessary materials within agreed timelines
• Review and approve ad creatives and content within 3 working days of submission
• Maintain sufficient advertising budget on their ad platforms for campaigns to run effectively
• Respond to our team promptly for coordination and reporting purposes

Delays caused by the client's failure to fulfil these responsibilities do not entitle the client to refunds or extensions of the service period.

9. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the engagement. Innoventory will not share your project details, pricing, or business information with any competitor or third party without your written consent.

Innoventory reserves the right to use general campaign performance data (without identifying client details) for internal reporting and improvement purposes.

With the client's permission, Innoventory may use results and case studies for marketing purposes. This will always be requested separately and is never assumed.

10. Limitation of Liability

Innoventory's total liability to any client under any circumstances shall not exceed the total fees paid by that client in the 3 months preceding the claim.

Innoventory is not liable for any indirect losses including loss of revenue, loss of profit, or loss of business opportunity arising from our services or the performance of advertising campaigns.

11. Governing Law

These Terms of Service are governed by the laws of India. Any disputes arising from these terms shall be subject to the jurisdiction of the courts of Chennai, Tamil Nadu, India.

12. Changes To These Terms

Innoventory may update these Terms of Service from time to time. We will notify existing clients of any significant changes via email at least 15 days before they take effect. Continued engagement with our services after that date constitutes acceptance of the updated terms.
